1. Acceptance of Terms
Forgio AI ("we," "us," or "our") provides its AI Software Services (the "Services") to you, the user, subject to the following Terms of Service (the "ToS"), which may be updated by us from time to time without notice. By accessing and using our Services, you accept and agree to be bound by the terms and provision of this ToS.
2. Description of Service
We provide users with access to a rich collection of resources through its AI software services, which may include, but are not limited to, prompt management, prompt execution, prompt collaboration. You understand and agree that the Services may include certain communications from us, such as service announcements and administrative messages, and that these communications are considered part of the subscription and you will not be able to opt out of receiving them.

Your use of the Services is also subject to our Privacy Policy, which informs users of our data collection, use, and disclosure practices.
4. Member Account, Password, and Security
To access certain services, you may be required to create an account with us. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. We do not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content.
6. Subscription Plans and Billing
Free Trial and Free Plans
We may offer free trial periods to new users or certain free service plans. These offers are intended to allow users to experience the Services without charge. Paid Subscriptions
After the completion of a free trial period, or at any time, you may opt to purchase a paid subscription to continue using our Services. We offer various subscription plans, the specifics of which, including the price and the Services included, will be provided at the time of purchase or on the company website.
Billing
Paid subscriptions are billed in advance on a yearly basis, as per the terms of the chosen subscription plan. All fees are non-refundable, including partially used periods, except as expressly provided in these terms.
Automatic Renewal
Unless you notify us before the end of the applicable subscription period that you want to cancel a subscription, your subscription will automatically renew and you authorize us to collect the then-applicable annual subscription fee (as well as any taxes) using any credit card or other payment mechanism we have on record for you.
Upgrades and Downgrades
Users can upgrade or downgrade their subscription plan at any time. The billing adjustments will be applied on a pro-rata basis.
7. Refund Policy

All payments made to us for the use of the Service are non-refundable, except as otherwise expressly provided in these Terms.
Exceptional Refunds
Refunds may be granted in exceptional cases at our discretion, such as in cases of service malfunctions that prevent reasonable use of the Service for an extended period. To request a refund, users must contact our customer support with a detailed explanation of the issue.
8. No Resale of Service
You agree not to reproduce, duplicate, copy, sell, trade, resell or exploit for any commercial purposes, any portion of the Service, use of the Service, or access to the Service.

You agree that we shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.
10. Termination
You agree that we may, under certain circumstances and without prior notice, immediately terminate your Forgio.ai account and access to the Service. Cause for such termination shall include, but not be limited to, storing, saving, or executing any form of copyrighted, illegal or harmful content, abusing the platform in any way.
11. Changes to Subscription Plans
We reserve the right to change the subscription plans, including the price, content, features, and terms, at any time. Changes will be communicated to current subscribers in advance through notifications via email or through our service.
12. Disclaimer of Warranties
You expressly understand and agree that your use of the Service is at your sole risk. The service is provided on an "as is" and "as available" basis. Us and its subsidiaries, affiliates, officers, employees, agents, partners, and licensors expressly disclaim all warranties of any kind, whether express or implied.
13. Limitation of Liability
You expressly understand and agree that we and our subsidiaries, affiliates, officers, employees, agents, partners, and licensors shall not be liable to you for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we has been advised of the possibility of such damages).
14. General Information
The ToS constitutes the entire agreement between you and us and governs your use of the Service, superseding any prior agreements between you and us. The laws of Washington state shall govern the ToS and the relationship between you and us.
